This agreement is between BuiltWell (“BuiltWell”) and the partner company identified above (“Partner”). It sets the terms under which Partner performs remodeling work on projects assigned by BuiltWell.
1. Relationship
Partner is an independent contractor, not an employee. Partner runs its own business, employs its own crew, and controls how the work is performed within the approved scope. Nothing here creates a joint venture or employment relationship.
2. What BuiltWell provides
Client relationships, signed client contracts and all client communication
Estimating and a written, approved scope of work for every project
Project management, scheduling and quality control
3. What Partner provides
Skilled crew and supervision for every assigned project
Purchase of materials per the approved scope (cost included in the scope price)
Work that meets code and the quality standard shown in Partner's portfolio
Active general liability insurance and a current W-9 on file with BuiltWell
4. Projects and payment
Each project is assigned through a written work order stating the scope and the price payable to Partner. Partner is paid per the payment schedule in each work order after the work passes BuiltWell quality control. Change orders must be approved in writing before extra work begins.
5. Performance
Project assignments are earned by performance: quality, on-time completion, following the approved scope and respecting BuiltWell's systems. BuiltWell does not guarantee any volume of work. Partner warrants its workmanship for one (1) year after project completion.
6. Clients belong to BuiltWell — no direct contact
All clients are and remain BuiltWell's clients. Partner and Partner's crew will not communicate with the client at any time, for any reason — not on site, not by phone, text, email or social media. Every question, change request, complaint or conversation goes through BuiltWell's project manager. If a client approaches Partner or its crew, the only permitted response is to politely refer them to BuiltWell. Direct contact with a client is grounds for immediate removal from the Partner Network.
During this agreement and for twenty-four (24) months after it ends, Partner will not solicit or perform work directly for any client introduced by BuiltWell, and will refer any inquiry from such clients back to BuiltWell.
7. Term
Either party may end this agreement with written notice. Work orders already in progress must be completed under their terms. Governing law: the state of Georgia.
